These Terms of Service ("Terms") govern your access to and use of the AI Receptionist services provided by AI Receptionist Agency ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our services. We reserve the right to update these Terms at any time, and your continued use constitutes acceptance of any modifications.

AI Receptionist provides automated phone answering and appointment booking services powered by artificial intelligence. Our services include:

• 24/7 AI-powered phone answering
• Appointment scheduling and management
• Call handling and routing
• SMS automation
• Call transcription and logging
• Multi-language support
• CRM integration capabilities

Specific features and capabilities depend on your chosen subscription plan. We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts to use our services. By using our services, you represent that you meet these requirements.

Account Responsibilities

You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly update your account information if it changes
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities under your account

You may not share your account credentials or allow others to access your account. We are not liable for any loss or damage arising from unauthorized account access.

Subscription Plans

We offer multiple subscription tiers (Starter, Pro, Enterprise) with varying features and pricing. All plans require a minimum commitment period as specified at the time of purchase.

Free Trial

New customers may be eligible for a 7-day free trial. No payment is required during the trial period. If you do not cancel before the trial ends, you will be automatically charged for your selected plan.

Billing and Payment

• Subscriptions are billed monthly in advance
• Payment is due immediately upon subscription or renewal
• All fees are non-refundable except as required by law
• We accept major credit cards and other payment methods as available
• You authorize us to charge your payment method for all fees incurred

Implementation Fees

A one-time implementation fee applies to all new accounts. This fee covers setup, AI training, and onboarding. Promotional discounts may apply based on commitment term.

Overage Charges

Usage beyond your plan's included credits (calls and SMS) will be billed at the rates specified in your plan. Overage charges are calculated monthly and added to your next invoice.

Price Changes

We reserve the right to change our pricing with 30 days' notice. Existing customers will be grandfathered at their current rate for the remainder of their commitment period.

Cancellation by Customer

You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of your current billing period. You remain responsible for any fees incurred before cancellation.

Early Termination

If you cancel before the end of your minimum commitment period, you may be subject to early termination fees as specified in your subscription agreement.

Termination by Us

We reserve the right to suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay fees when due
• Use the service in a manner that harms our systems or other users

We will provide reasonable notice before termination unless immediate action is required to protect our systems or other users.

You agree not to:

• Use the service for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service or servers
• Use the service to harass, abuse, or harm others
• Impersonate any person or entity
• Collect or store personal data of others without consent
• Use automated systems to access the service without authorization
• Resell or redistribute the service without permission

Our Rights

All content, features, and functionality of the AI Receptionist service, including but not limited to text, graphics, logos, software, and AI models, are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the service for your internal business purposes in accordance with these Terms. This license does not include any right to:

• Modify, copy, or create derivative works
• Reverse engineer or decompile the service
• Remove or alter proprietary notices
• Use our trademarks without permission

Your Content

You retain ownership of any content you provide to the service (e.g., business information, call scripts, knowledge base). By using the service, you grant us a worldwide, non-exclusive license to use, store, and process your content solely to provide and improve the service.

Your use of the service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We implement industry-standard security measures to protect your data.

You acknowledge that:

• You are responsible for maintaining the confidentiality of data you input
• We may process call recordings and transcripts to improve AI performance
• You must comply with applicable privacy laws regarding customer data
• You must obtain necessary consents for call recording where required by law

Service Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that:

• The service will be uninterrupted, secure, or error-free
• Results obtained will be accurate or reliable
• Defects will be corrected promptly
• The AI will handle all calls perfectly

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Service Level Agreement

While we strive for 99.9% uptime, we do not guarantee uninterrupted service. Scheduled maintenance will be performed with advance notice when possible.

You agree to indemnify, defend, and hold harmless AI Receptionist Agency, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or business practices

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law provisions.

Arbitration

Any dispute arising from these Terms or the service shall be resolved through binding arbitration in Luxembourg, except that either party may seek injunctive relief in court for intellectual property infringement.

Class Action Waiver

You agree that disputes will be resolved individually and not as part of a class action or consolidated proceeding.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or infrastructure failures.
